Terms of Service | XGuardia

1. Acceptance

By accessing or using XGuardia (https://xguardia.com) you agree to these Terms of Service ("Terms") and our Privacy Policy. If you don't agree, don't use the service.

2. The service

XGuardia provides software-as-a-service for generating proposals, contracts, invoices, resumes, and using a toolkit of utilities. Some features are free; others require a paid subscription ("Pro") or one-time payment.

3. Accounts

You're responsible for keeping your login credentials secure. You may not share your account with another person, or create accounts using false information. We may suspend or terminate accounts that violate these terms.

4. Plans, payment, refunds

Free plan — available without signup for tools, requires signup for generators. Includes the limits described on the pricing page.

Pro subscription — recurring monthly or annual charge via Stripe. You can cancel anytime from billing settings; Pro remains active until the end of the current billing period. Refunds are not provided for partial periods — but if you cancel within 7 days of your first Pro charge, email us and we'll process a refund.

Pay-per-proposal — one-time charge per published proposal. Non-refundable once the proposal is published and shared with the client.

Client payments via Stripe Connect — when your clients pay you through XGuardia, funds settle directly to your Stripe account. We don't take a platform fee at this time, but reserve the right to change that with 30 days notice.

5. Acceptable use

Don't use XGuardia to:

Distribute malware, illegal content, or content that infringes others' rights
Send spam or unsolicited commercial messages
Reverse-engineer the service or attempt to access data that's not yours
Scrape the platform or its public pages at a rate that affects availability
Impersonate another person or business
Generate documents that misrepresent goods/services or defraud counterparties

We may remove content or terminate accounts that violate these rules.

6. Your content

You own everything you create on XGuardia — proposals, contracts, invoices, resumes, etc. You grant us a limited licence to host, display, transmit and process your content solely to provide the service. We don't claim ownership; we don't use your content to train models; we don't sell it.

When a counter-party signs one of your contracts on /c/[slug], the signature record is binding evidence that both sides agreed. You're responsible for the contract's content; we provide the platform, not legal advice.

7. Our content

XGuardia, its branding, code, design and templates are our property. You may not copy or redistribute them outside the service.

8. Disclaimers

The service is provided "as is" without warranty of any kind. We don't guarantee:

That the service will be available 100% of the time
That generated documents are legally sufficient in your jurisdiction
That the platform is suitable for any particular purpose

Always have a lawyer review contracts that involve material risk.

9. Limitation of liability

To the maximum extent permitted by law, our liability is limited to the amount you paid us in the 12 months before the claim arose. We are not liable for indirect, incidental, or consequential damages.

10. Termination

You can delete your account anytime from settings. We can suspend or terminate accounts that violate these terms, with notice when reasonable.

11. Governing law

These Terms are governed by the laws of Brazil. Disputes will be resolved in the courts of São Paulo, SP unless another forum is required by consumer law.

12. Changes

We may update these Terms. Material changes will be announced in-app at least 14 days before they take effect. Continued use after that date constitutes acceptance.
